Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you (the "Client") and Yongding Liu Digital DBA Happy Ring Solutions ("Happy Ring," "we," "us," or "our"). By accessing or using our AI Receptionist service, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

Happy Ring Solutions provides an AI-powered receptionist that performs automated AI call handling, appointment scheduling, and CRM voice/SMS integrations on behalf of your business. The Service may include integrations with third-party tools such as calendars, CRMs, and telephony providers. We may modify or discontinue features of the Service at any time without prior notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and current information when registering and to update it as needed. You must be at least 18 years old and authorized to bind your business to these Terms.

The Service uses SMS communications for booking confirmations, account alerts, and customer support. By using the Service, you agree that:

• You consent to receive SMS messages related to your account and the Service. Message and data rates may apply. Message frequency varies based on interaction.
• You may opt out at any time by replying STOP to any message to cancel SMS communications, or reply HELP for support.
• You are responsible for ensuring you have obtained proper consent from your customers and contacts before the Service sends SMS messages to them on your behalf, in compliance with applicable laws and carrier guidelines.
• Happy Ring is not liable for messages blocked or filtered by mobile carriers due to non-compliant content or lack of recipient consent.

You agree not to use the Service to:

• Violate any law, regulation, or third-party right;
• Send unsolicited, deceptive, harassing, or prohibited SMS or voice messages, including content that violates TCPA, CTIA, or carrier rules;
• Infringe intellectual property or privacy rights;
• Interfere with or disrupt the Service, its servers, or its integrations;
• Attempt to gain unauthorized access to the Service or related systems.

Violations may result in suspension or termination of your account without refund.

Subscription fees are billed in advance on a recurring basis according to your selected plan. Usage-based charges (such as call minutes or SMS volume) may be billed in arrears. Fees are non-refundable except where required by law. We may change our fees with reasonable advance notice. Unpaid invoices may result in suspension of the Service.

The Service, including its software, branding, and content, is owned by Yongding Liu Digital DBA Happy Ring Solutions and is protected by intellectual property laws. You retain ownership of the content and data you provide to the Service. You grant us a limited license to use your content solely to provide and improve the Service.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated responses will always be accurate. You use the Service at your own risk.

To the maximum extent permitted by law, Happy Ring shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, data, or business, arising out of or related to the Service, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid in the twelve months preceding the claim.

You may cancel your account at any time. We may suspend or terminate your account for violation of these Terms or for non-payment. Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will remain in effect.

We may revise these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
